Terms and Conditions

The Terms and Conditions of KOOTORO VIETNAM CO., LTD govern the customer's use of the Toro Vending Machine. Therefore, Customer please read this document carefully. By using a Toro Vending Machine or purchasing goods and/or services from a Toro Vending Machine, the Customer agrees to the terms and conditions set forth below by KOOTORO VIETNAM CO., LTD.

I. DEFINITIONS AND EXPLANATIONS

1. Definition

Unless otherwise stated, the terms used in the Terms and Conditions of KOOTORO VIETNAM CO., LTD have the following meanings:

a. "Company" herein means KOOTORO VIETNAM COMPANY LIMITED, a company incorporated under the laws of Vietnam and headquartered at: 8/11 Street 49B, Quarter 4, Thao Dien Ward, Thu Duc City, Ho Chi Minh City, Vietnam;

b. "Toro" refers to the Company's brand of vending machines;

c. "Machine" means a TORO vending machine that is operated by the Company;

d. "Customer" refers to the person or entity to whom the Company sells products or services on the Machine;

e. "Supplier" means the entity that provides products and/or services to the Company;

f. "VND" refers to Vietnam Dong;

g. "Terms and Conditions" refer to the Terms and Conditions for the use of vending machines of KOOTORO VIETNAM CO., LTD, as amended or supplemented from time to time.

2. Defining Boundaries, Numbers, and Titles

Any words used without specifying a gender shall be considered to include all genders in all applicable cases. And, any word that is used in the singular, is considered to include the plural in all cases where it applies. Section Headings and Subsections are written for ease of reference and are not to be considered part of these Terms and Conditions.

II. PRODUCTS, SERVICES AND PRICES

1. Products And Services

- Vending machines with a variety of products and services to best serve Customers, including, but not limited to: snacks, confectionery, food and drink, hotfood, coconut, coffee...

- Ownership of products and services (except intellectual property) is transferred from the Supplier to the Company upon full payment. Ownership of products and services belongs to the company until full payment is made by the Customer.

- In case the product received by the customer is not as described by the Company in the product/service information section, please inform the Customer Care Department (Hotline: 1900 3009 or support@kootoro.com) as soon as possible after receiving the goods and ensure the product has not been used for refund support.

2. Price

The Company maintains competitive prices for its products, and is entitled, in its sole discretion, to change the price of any products. The price of the product is the price indicated at the time of purchase and is paid to the Company at the price displayed. Unless otherwise stated, purchase price:

a. Included VAT.

b. No refunds will be made under any circumstances, unless the supplier, prior to the sale of the goods, obtains written consent from the Company for such a refund. Products and prices are correct at the time of purchase only and are subject to change without notice.

III. CHANGE MONEY AND REFUND POLICY

1. Change Money

The minimum currency and denomination accepted by the Machine is VND 1,000. In the event that the Customer has money left over after making a transaction, the Customer can choose to enter a phone number to use the change money in following ways:

a. Enter phone number to top-up to Phone account or Toro account

b. Continue buying on the machine

2. Refund Policy

In the event that the purchase of products of the Machine is unsuccessful due to the technical reasons of the Machine and/or the product quality is not as described, the Customer may call the company's hotline: Hotline: 1900 3009 or support@kootoro.com.

The Company will only refund the customer if: (i) the Customer fully complies with the user manual printed on the Machine, and (ii) the Company receives a refund request from the Customer within 30 days from the date of occurrence. Other cases will not be considered for a refund.

IV. INFORMATION SECURITY

By using the Machine, the Customer agrees to allow the company to keep, collect and/or store information about the Customer's transactions and purchasing behavior. This information will be used for analysis and other business purposes by the Company and will not be shared or disclosed to any third party for advertising or other reasons unrelated to our business, except where disclosure is required by law.

V. VANDALISM AND THEFT

The Company wishes to provide the best customer experience by using vending machines with touch screens. Any act of vandalism and/or theft of property (including but not limited to: banging, shaking, tilting, hitting the Machine when the product is stuck, or damaging the Machine's power cord...) will be reported. to competent authorities and handle them in accordance with the laws of Vietnam.

VI. LIMITATION OF LIABILITY

The Company shall not be liable when:

Failure, loss or damage resulting from or related to the Customer's improper use of the Machine;

Any loss or expense incurred to the Customers as a result of any defect in the Machine which is in the process of being repaired while being notified to the Customers through the machine screen or the Company's official channels.

Any failure or delay in the performance of the Company's obligations where such failure or delay is due to causes beyond the Company's control. Such causes include, but are not limited to: power outages, internet outages, riots, fires, floods, hurricanes, earthquakes, terrorism, wars, government interventions or any other event beyond our control.

VII. EMERGENCY CONTACTS

In case of questions or problems with the Machine, the Customer may contact:

State hotlines (fire, vandalism, etc.); and/or

Company Hotline 1900 3009 or support@kootoro.com.

VIII. LAW AND DISPUTE SETTLEMENT

a. Law:

Terms and Conditions shall be governed by and construed in accordance with the laws of Vietnam.

b. Dispute resolution:

The parties will make a good faith effort to resolve any dispute arising out of or relating to Terms and Conditions and the use of the Machines through negotiations between the nominated representative. In the event that such negotiation fails to resolve the dispute within 30 days from the date of receipt of the written invitation to negotiate, such dispute shall be entitled to be resolved in the Vietnamese courts.

IX. TERMS APPLY

- Terms & Conditions are officially effective from the date of posting on Website Kootoro.com. The company has the right to adjust, change these Terms & Conditions to suit the actual operation and is responsible for notifying the Kootoro.com Website for customers to know.

- Terms & Conditions will be continuously updated by Website Kootoro.com without prior notice.
